Terms of Service

Welcome to GenForm. These Terms of Service ("Terms") constitute a legal agreement between you and Goup Apps Inc. ("we," "us," or "our," incorporated in the Province of British Columbia, Canada) governing your use of the GenForm form management platform.
By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
1. Description of Service
GenForm is a cloud-based form management platform operated by Goup Apps Inc., offering the following features:
- Drag-and-drop form builder (supporting 18 field types)
- PDF template mapping and auto-fill export
- Form data collection and management
- Data export (Excel, PDF)
- Team collaboration and permissions management
- Form access control and publishing
2. Account Registration and Security
2.1 Account Creation
Using GenForm requires creating an account. You may register with an email address or sign in with Google. You must provide accurate and complete information and keep it up to date. Each individual may register only one account.
2.2 Account Security
- You are responsible for safeguarding your account credentials and must not share them with others
- You are responsible for all activities that occur under your account
- If you discover unauthorized access, please contact us immediately
2.3 Age Requirement
You must be at least 16 years of age to create an account and use our services.
3. Acceptable Use
When using our services, you agree not to:
- Violate any applicable Canadian federal or provincial laws, or the laws of your jurisdiction
- Infringe upon the intellectual property, privacy, or other legal rights of others
- Collect, store, or distribute unlawful content through forms
- Send spam or use the service for unsolicited communications
- Attempt unauthorized access to systems, other users' accounts, or data
- Interfere with, disrupt, or place an unreasonable burden on the service infrastructure
- Use automated tools (bots, crawlers, etc.) to access or scrape service data at scale
- Resell, sublicense, or transfer your account or service access rights
- Decompile, reverse engineer, or attempt to extract the source code of the service
Violation of the above provisions may result in account suspension or termination, without refund of any fees paid.
4. Content and Data Ownership
4.1 Your Content
You retain all rights to the forms you create, PDF templates you upload, submission data you collect, and other user content. We do not claim ownership of your content.
4.2 Limited License
You grant us a non-exclusive, worldwide, royalty-free license to use your content solely for the purpose of providing, maintaining, and improving our services. This license terminates when you delete your content or close your account.
4.3 Content Responsibility
You are solely responsible for all content you create, upload, or collect through our services. You must ensure that you have the legal right to use such content and that it does not violate any laws or third-party rights.
4.4 Data Processor Role
When you collect data from third-party users through GenForm, you are the data controller for that data, and we act as a data processor on your behalf. You are responsible for ensuring that your data collection activities comply with applicable privacy laws and for obtaining data subjects' consent where necessary.
4.5 Data Backup
While we maintain data redundancy on Google Cloud infrastructure, we recommend that you regularly back up important data using the export features. We are not liable for data loss caused by force majeure events.
5. Intellectual Property
5.1 Our Intellectual Property
The software, design, logos, documentation, and other related materials of GenForm are protected by Canadian and international copyright, trademark, and intellectual property laws, and are owned by Goup Apps Inc. You may not copy, modify, distribute, or create derivative works without our prior written permission.
5.2 Feedback
If you provide us with feedback or suggestions regarding the service, you agree that we may use such feedback without restriction and free of charge to improve our services.
6. Service Usage Limits
To ensure quality of service for all users, we impose the following usage limits:
- API call frequency limits (rate limiting)
- File upload size limits (PDF templates up to 5MB)
- Email sending frequency limits (invitations, etc.)
- Daily AI feature usage limits
Specific limits may vary by account type and may be adjusted as necessary for service operations.
7. Service Changes and Termination
7.1 Service Changes
We reserve the right to modify, suspend, or discontinue the service (or any part thereof) at any time. For material changes, we will provide 30 days' advance notice by email or through an in-service notification.
7.2 Your Right to Terminate
You may terminate this agreement at any time by deleting your account. Before termination, we recommend using the export features to back up any data you need.
7.3 Our Right to Terminate
We may suspend or terminate your account in the following circumstances:
- Violation of any provision of these Terms
- Fraudulent or illegal activity
- Account inactivity for 12 consecutive months
- As required by law or law enforcement authorities
7.4 Effect of Termination
Upon account termination, you will immediately lose access to your account and data. We will delete your data within 30 days of termination, unless we are required by law to retain it for a longer period.
8. Disclaimer of Warranties
To the maximum extent permitted by the laws of British Columbia:
The service is provided on an "as is" and "as available" basis. We make no warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The service will operate without interruption or error
- Defects in the service will be corrected in a timely manner
- The service will meet your specific business requirements
- The formatting accuracy of PDF documents generated through the service
9. Limitation of Liability
To the maximum extent permitted by law, Goup Apps Inc. and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, loss of data, business interruption, or loss of goodwill, whether based on contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
In no event shall our total cumulative liability to you arising from your use of the service exceed the total amount paid by you to us in the 12 months preceding the event giving rise to the claim, or one hundred Canadian dollars (CAD $100), whichever is greater.
10. Indemnification
You agree to indemnify and hold harmless Goup Apps Inc. and its directors, employees, and affiliates from any third-party claims, damages, losses, and expenses (including reasonable attorney's fees) arising from:
- Your use or misuse of the service
- Your violation of any provision of these Terms
- Your infringement of any third-party rights
- Disputes arising from third-party data collected through the service
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada and applicable Canadian federal laws, without regard to conflict of law principles.
11.2 Dispute Resolution
Any disputes arising from these Terms shall first be resolved through good-faith negotiation between the parties. If negotiation is unsuccessful, the parties agree to submit the dispute to the courts of competent jurisdiction in Vancouver, British Columbia. Both parties consent to the exclusive jurisdiction of such courts.
12. Electronic Communications (CASL)
In compliance with Canada's Anti-Spam Legislation (CASL), we send you emails only in the following circumstances:
- Transactional messages — Notifications directly related to your account (collaboration invitations, security alerts, service changes), which do not require additional consent
- Commercial messages — Product updates and feature announcements, sent only with your consent, and each email includes an unsubscribe link
13. General Provisions
- Entire agreement — These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the use of the service, and supersede all prior agreements
- Severability — If any provision of these Terms is found by a court to be invalid or unenforceable, the remaining provisions shall continue in full force and effect
- Waiver — Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any subsequent right of enforcement
- Assignment — You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a business transfer
- Force majeure — We shall not be liable for any interruption or delay in service caused by events beyond our reasonable control (natural disasters, war, government actions, cyberattacks, third-party service outages, etc.)
14. Updates to These Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. For material changes, we will provide 30 days' advance notice by email. Continued use of the service constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you should cease using the service and delete your account before the effective date.
